1. Acceptance of Terms

By accessing or using Firmfy's platform, website, or any associated services (collectively, the "Service"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of a law firm or other organization, you represent that you have the authority to bind that entity to these terms.

If you do not agree with any part of these terms, you must not access or use the Service. We recommend that you review these terms carefully before creating an account.

2. Description of Service

Firmfy provides a cloud-based employee experience and firm management platform that includes unified task management synced from practice management platforms (Clio, GoHighLevel, Practice Panther, MyCase), employee scorecards, client satisfaction tracking, gamification and rewards, daily check-ins, training and certification management, performance reviews, smart automations, team communication, and business intelligence dashboards. The Service is designed to help law firms unify operations, measure performance, and build engaged teams.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to notify users of material changes to the Service in advance.

3. User Accounts

To use certain features of the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

Firm administrators may create accounts for team members within their organization. Administrators are responsible for managing user access and ensuring that all users within their organization comply with these terms. Firmfy reserves the right to suspend or terminate accounts that violate these terms.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these terms. You may not use the Service to store, transmit, or distribute any content that is illegal, harmful, threatening, abusive, or otherwise objectionable. You may not attempt to gain unauthorized access to any part of the Service, other accounts, or computer systems.

You may not reverse-engineer, decompile, or disassemble any part of the Service. You may not use automated scripts, bots, or scrapers to access the Service without our prior written consent. Violation of these restrictions may result in immediate termination of your account.

5. Intellectual Property

The Service and its original content, features, and functionality are owned by Firmfy and are protected by international copyright, trademark, patent, and other intellectual property laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

You retain all rights to the data and content you upload to the Service. By using the Service, you grant Firmfy a limited, non-exclusive license to process and store your content solely for the purpose of providing and improving the Service. We will never use your confidential client data for marketing, analytics, or any purpose unrelated to delivering the Service.

6. Payment Terms

Certain features of the Service require a paid subscription. Subscription fees are billed in advance on a monthly or annual basis, depending on the plan you select. All fees are non-refundable except as expressly stated in these terms or required by applicable law.

We reserve the right to change our pricing at any time. If we change the pricing for your subscription plan, we will provide at least 30 days' notice before the new pricing takes effect. If you do not agree to the new pricing, you may cancel your subscription before the next billing cycle.

7. Termination

You may terminate your account at any time by contacting our support team or using the account settings page. Upon termination, your right to use the Service will immediately cease. We will retain your data for 30 days following termination, after which it will be permanently deleted.

Firmfy may terminate or suspend your account immediately, without prior notice or liability, if you breach these terms. We may also terminate accounts that have been inactive for more than 12 months. In all cases, we will make reasonable efforts to allow you to export your data before deletion.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Firmfy shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising out of or related to your use of the Service.

In no event shall Firmfy's total liability to you for all claims arising out of or related to the Service exceed the amount you paid to Firmfy during the twelve months preceding the claim. This limitation applies regardless of the theory of liability, whether in contract, tort, or otherwise.

9. Indemnification

You agree to indemnify, defend, and hold harmless Firmfy, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these terms, or your violation of any rights of a third party. This indemnification obligation will survive the termination of your account and these terms.

10. Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising out of or related to these terms or the Service shall be resolved exclusively in the state or federal courts located in Wilmington, Delaware. You consent to the personal jurisdiction of such courts.

11. Changes to Terms

We reserve the right to modify these terms at any time. We will notify you of material changes by posting the updated terms on our website and updating the "Last updated" date. Your continued use of the Service after changes are posted constitutes acceptance of the revised terms. If you do not agree to the updated terms, you must stop using the Service and close your account.
